Terms of service

Last updated 2026-05-06 Version 1.0 Effective 2026-05-06
Email [email protected]

These terms govern your use of the Covenant service. They are written to be readable. Two risk reversals — the audit refund and the 30-day deliverable guarantee — are stated here in the same words we use on the website. If anything in these terms is unclear, email [email protected] and we will explain.

1. Introduction & acceptance

These terms form a contract between you (the Customer) and Fortius Labs, based in London, trading as Covenant.

By accessing meetcovenant.com, signing up for an audit, or using the Covenant service, you agree to these terms. If you are entering into them on behalf of an agency or other organisation, you confirm that you have authority to bind that organisation. If you do not agree, do not use the service.

3. The service

Covenant offers three connected products. You can buy them separately or as a package.

3.1 72-Hour Rent Roll Audit

Our entry product. You send us a rent-roll export. Within 72 working hours of receiving a complete export we deliver a revenue leak report, a ranked landlord action list, the first landlord-ready evidence packs, a first-year payback report, and a recommendation for the first 30 days. The Audit may be sold with an optional setup fee of between £500 and £1,500, agreed before work starts.

3.2 30-Day Revenue Sprint

The conversion product. We work alongside your team for 30 days to turn the audit into action: preparing evidence packs, supporting weekly reviews of calls, follow-ups, objections, and outcomes, and reporting activity, rent reviews proposed, retained properties, and instructions won.

3.3 Ongoing Covenant subscription

The recurring product. Each month you receive an updated opportunity list, new evidence packs, landlord-retention risk flags, the manager task board, outcome reporting, and fee-impact reporting. Pricing is set out in section 5.

4. Customer obligations

You agree to:

  • Provide rent-roll data that is accurate to the best of your knowledge and reasonably complete for the work to be useful.
  • Have a lawful basis to share the landlord, tenant, and property data you send us, and to instruct us to process it on your behalf as set out in the DPA.
  • Cooperate with the agreed sprint cadence — including assigning calls, attending weekly reviews, and recording outcomes — so we can do the work we have promised.
  • Use the Deliverables only for your legitimate business and not pass them to third parties (other than landlords, tenants, and your professional advisers) without our prior written consent.
  • Not attempt to reverse-engineer, scrape, or copy the Covenant scoring methodology or software for use in a competing service.
  • Pay the fees set out in section 5 on time.

5. Fees & payment

  • Subscription fee: £2 per managed property per month, billed monthly in arrears, based on the count of properties under management at the end of the month.
  • Audit fee: agreed in advance, in the range £500–£1,500. Invoiced separately. If you continue to a Subscription, the audit fee is credited against your first 12 months of Subscription fees.
  • Payment terms: invoices are due within 14 days. Late payments may attract statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.
  • Price changes: we may change Subscription pricing on no less than 30 days' written notice. If you do not accept a price change, you can terminate before it takes effect.
  • Tax: all amounts are exclusive of VAT, which will be charged at the prevailing rate where applicable.
  • Currency: fees are in pounds sterling (GBP).

6. Risk reversal

We back the audit and the first month with two specific guarantees. These are stated below in the same words used on our website.

Audit refund If the first audit does not identify enough credible retained/won-property value to cover the first year of Covenant, we refund the audit fee.
30-day deliverable guarantee In the first 30 days, Covenant will produce at least 10 landlord-ready evidence packs per 100 managed properties, each with a recommended action, estimated value, and follow-up task, or you do not pay for month two.

To claim either guarantee, email [email protected] within 30 days of the end of the relevant period. We will work in good faith to resolve any claim quickly. These guarantees are our sole remedy for the matters they cover; they sit alongside, and do not exclude, your statutory rights.

We do not guarantee specific landlord retention numbers, accepted rent reviews, or new instructions won — those depend on your team's execution and on landlord decisions outside our control.

7. Intellectual property

7.1 What Covenant owns

We retain all intellectual property rights in our templates, scoring methodology, software, infrastructure, brand, and the underlying know-how that makes the service work. Nothing in these terms transfers any of those rights to you.

7.2 What you own

You retain all intellectual property rights in your Rent Roll Data and in the Deliverables we produce specifically for you (evidence packs, action lists, scoreboard outputs) once they have been delivered. You have a perpetual, worldwide, royalty-free licence to use those Deliverables in your business — including sharing the relevant evidence packs with the landlords they concern.

7.3 Licences between us

You grant us a limited, non-exclusive, non-transferable licence to process the Rent Roll Data and your other materials only as needed to deliver the service and only in line with the DPA. We grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Covenant service for your internal business purposes during the term.

We may produce de-identified, aggregated statistics from the data we process to improve the service and report on industry trends. Aggregated statistics will never identify you, your landlords, or your tenants.

8. Confidentiality

Each of us may receive information from the other that is confidential — including, on your side, your Rent Roll Data, commercial terms, and business plans, and on ours, our scoring methodology, pricing approach, and any non-public materials. Each party agrees to use the other's Confidential Information only to perform its obligations under these terms, to protect it with at least the care it takes with its own confidential information, and not to disclose it to third parties except to employees, contractors, or professional advisers who need to know and are themselves bound by confidentiality.

Confidentiality survives termination for three years, except for trade secrets and personal data, which remain protected for as long as the law requires.

9. Data protection

How we handle personal data is set out in our Privacy policy and, for Rent Roll Data, our Data Processing Agreement. The DPA is incorporated into and forms part of these terms. In the event of conflict between the DPA and these terms in respect of personal data, the DPA prevails.

10. Service limits & warranties

We will perform the service with reasonable care and skill, and we will deliver the outputs described in section 3 in the timeframes stated. Beyond the specific guarantees in section 6, the service is provided as is. We do not warrant that:

  • any specific landlord will be retained, any specific rent review will be accepted, or any specific instruction will be won — those outcomes depend on your execution and on landlord decisions;
  • the service or website will be uninterrupted or error-free, although we will use reasonable efforts to keep it available; or
  • the service will meet requirements other than those expressly stated in these terms or an agreed order.

To the maximum extent permitted by law, all other warranties — express, implied, statutory, or otherwise — are excluded.

11. Liability

Nothing in these terms limits or excludes either party's liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any other liability that cannot lawfully be limited or excluded under English law.

Subject to that, and except in respect of the indemnities and obligations expressly stated elsewhere in these terms or the DPA:

  • neither party is liable for indirect, special, or consequential loss, loss of profits, loss of revenue, loss of business, loss of anticipated savings, or loss of goodwill;
  • each party's total aggregate liability arising under or in connection with these terms, whether in contract, tort (including negligence), under statute, or otherwise, is capped at the total fees paid or payable by the Customer to Covenant in the 12 months immediately preceding the event giving rise to the claim.

You acknowledge that the cap reflects the agreed allocation of risk and the price of the service.

12. Termination

12.1 Termination for convenience

You can cancel the Subscription on 30 days' written notice at any time, taking effect at the end of the then-current monthly billing period.

12.2 Termination for cause

Either party may terminate immediately by written notice if the other:

  • commits a material breach of these terms and (where the breach is capable of remedy) fails to remedy it within 14 days of receiving written notice requiring it to do so; or
  • becomes insolvent, enters administration, has a receiver appointed, or otherwise ceases or threatens to cease trading.

12.3 Effect of termination

On termination: (a) your right to use the service ends; (b) we will return or securely delete the Rent Roll Data within 30 days in line with the DPA; (c) any fees accrued up to the date of termination remain payable; (d) the licences granted to you over Deliverables you have already received remain in force; (e) sections that by their nature should survive (confidentiality, IP, liability, governing law) survive.

13. Governing law & jurisdiction

These terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by the laws of England and Wales. The parties agree to submit to the exclusive jurisdiction of the English courts.

14. Changes to these terms

We may update these terms from time to time. For non-material changes — typos, clarifications, sub-processor list updates — we will simply post the revised terms with an updated date. For material changes that affect existing customers, we will email you at least 30 days before the change takes effect. If you do not accept a material change you may terminate the Subscription before it takes effect, with no further fees due beyond the current period.

15. Contact
